These terms govern your use of the Milldown application and the milldown.app website, operated as a sole proprietorship in Switzerland ("Milldown", "we", "us"). By downloading or using Milldown, you agree to these terms.

1. The software

Milldown is a macOS application that converts documents, web pages, and other files into Markdown, locally on your Mac. It requires macOS 14 or later on Apple Silicon.

2. Trial

Milldown includes a free 14-day trial with all features enabled. No account or payment details are required for the trial.

3. License

Purchasing a license grants you a non-exclusive, non-transferable right to use Milldown for both personal and commercial purposes on up to three (3) Macs that you own or control. A Team license covers ten (10) seats under the same terms. Seats may be deactivated and reassigned at any time. Licenses may not be resold, sublicensed, or shared beyond the activation limit.

4. Updates

A license is a one-time purchase, not a subscription. It includes twelve (12) months of updates from the date of purchase. When that period ends, the version you have continues to work indefinitely — no feature is disabled, no functionality is withdrawn, and nothing is billed automatically. To continue receiving new versions you may optionally renew for a further twelve months at the then-current renewal price. Security fixes for the version you hold are provided at our discretion regardless of renewal status.

5. Purchases

Purchases are processed by Stripe acting as merchant of record under Stripe Managed Payments: Stripe is the seller of record for the transaction, collects and remits applicable VAT/sales tax, issues the buyer receipt, and handles payment disputes and certain refunds, including regionally mandated cooling-off rights. Stripe's Managed Payments terms apply to the payment transaction. Advertised prices are exclusive of tax; VAT/sales tax is calculated and added at checkout where applicable. Your license key is delivered by email after purchase.

6. Refunds

See our refund policy. In short: 14 days, no questions asked.

7. Acceptable use

You may not reverse-engineer, redistribute, or resell the software, circumvent its licensing, or use it in violation of applicable law. You are responsible for having the right to convert the documents you process.

8. Third-party components

Milldown includes open-source components, notably Microsoft's MarkItDown conversion engine (MIT License) and the Sparkle update framework. Milldown is an independent product and is not affiliated with or endorsed by Microsoft.

9. Disclaimer and liability

Milldown is provided "as is" without warranty of any kind. Conversion output may contain errors — verify results before relying on them. To the maximum extent permitted by law, our liability is limited to the amount you paid for your license.

10. Changes

We may update these terms; material changes will be noted on this page with a revised date. Continued use after changes constitutes acceptance.

11. Governing law

These terms are governed by the laws of Switzerland. Exclusive place of jurisdiction is Switzerland.
